Terms of Service
Placeholder document version:
2026-09-12-placeholder.
This version string is generated from the backend's config/legal_terms.py and is
the same value stamped on a customer's account the moment they check the agreement box at
signup, so support can always answer "which version did this customer agree to."
Draft — not yet reviewed by counsel
Every section on this page is placeholder text written only to hold the correct shape and
topic list for a per-scan AI document-analysis service. It is not final, it has not been
reviewed by a lawyer, and nobody should rely on it as a real Terms of Service. It exists so
engineering can wire signup, links, and version-tracking correctly ahead of counsel's real
text (owner item O2). Counsel: replace each section's body below; the heading list is the
requested shape, not a legal recommendation.
1. The Service
PLACEHOLDER — describes the product shape only; not reviewed language.
Grudar ("the Service") lets you upload a set of plans,
specifications, and (optionally) site photos, request a scan, and receive a report identifying
scope gaps, conflicts between documents, and open questions worth raising before you bid or
issue. The Service is provided by Grudar, LLC. By creating
an account or requesting a scan, you agree to these Terms.
2. Accounts and acceptable use
PLACEHOLDER — standard SaaS account/AUP shape, not final language.
You must provide accurate account information and are responsible for activity under your
account. You agree not to use the Service to violate any law or third party's rights, to
upload malware or content that disrupts the Service, to attempt to bypass authentication,
rate limits, or account isolation, or to resell or sublicense the Service without our written
consent.
3. Fees, per-scan charges, and scan credits
PLACEHOLDER — pricing mechanics only; actual price bands are an owner decision (D-C) tracked separately, not written here.
The Service is billed per scan, priced to the size of the document set you submit. You will
see the price before you commit to a scan. Intended policy: if a scan fails
to complete for a reason on our side, or completes only partially, you are credited for the
failed or unusable portion rather than being charged for a report you did not receive. Exact
credit mechanics are [credit policy detail -- pending owner sign-off].
4. AI-generated output: no warranty, your duty to verify
PLACEHOLDER — the disclaimer this product's own doctrine depends on; counsel to finalize wording.
The Service uses AI models to read your documents and draft the report. AI output can be
incomplete, inaccurate, or out of date. The Service is a quality-assurance aid, not a
substitute for professional design review or a licensed reviewer's judgment. You are
responsible for reviewing the report before relying on it for bidding, issuing, or any other
business or legal decision. We do not warrant that a scan will identify every issue in your
document set.
5. Your content
PLACEHOLDER — standard customer-content ownership shape.
You retain all rights in the documents, photos, and other content you upload ("Your
Content"). You grant us a limited license to host, process, and transmit Your Content solely
to run a scan and produce your report. See the
Privacy Policy for how we handle Your Content, including which
processors see it.
6. Disclaimers and limitation of liability
PLACEHOLDER — liability cap amount and structure are counsel's call, not engineering's.
The Service is provided "as is," without warranties of any kind. To the maximum extent
permitted by law, Grudar, LLC is not liable for indirect,
incidental, or consequential damages, and our total liability for any claim is limited to
[liability cap amount -- to be supplied by counsel].
7. Term and termination
PLACEHOLDER.
You may close your account at any time. We may suspend or terminate access for a material
breach of these Terms or as required by law. See the
Privacy Policy for what happens to your data on closure.
8. Governing law
PLACEHOLDER — the task explicitly calls for an open placeholder here; no state has been chosen.
These Terms are governed by the laws of
[governing law state -- to be supplied by counsel], without regard to conflict-of-laws
principles. Venue and dispute-resolution mechanics (courts vs. arbitration) are
[dispute resolution mechanism -- to be supplied by counsel].
9. Changes to these Terms
PLACEHOLDER.
We may update these Terms as the Service evolves. Material changes will be communicated in
advance, and the version string at the top of this page will change to match. This section
is a placeholder pending counsel review; the process for re-acceptance by existing customers
when the text changes has not been decided yet.
